Terms of Service
1. About PIDRR and These Terms
PIDRR LLC ("PIDRR," "we," "us" or "our") provides content creation, social media management and social media marketing services.
These Terms govern use of our website and, when expressly incorporated into an accepted proposal, order or service agreement, the services we provide. If you arrange services on behalf of a business, you must have authority to act for that business.
A project-specific agreement sets out the services you purchase. If it conflicts with these Terms, the project-specific agreement takes priority for that project, subject to applicable law. Nothing in these Terms removes rights that cannot legally be excluded.
2. Service Scope and Project Agreements
Depending on the agreed scope, our services may include video and other content production, publishing, account management, keyword-based campaigns, community responses, direct outreach and social media reporting.
Before work begins, the parties should confirm in writing the deliverables, platforms, accounts, markets, schedule, fees, revision allowance, approval process and each party's responsibilities. A website inquiry or an initial discussion does not by itself create a service order.
Website prices and examples are general guidance unless expressly identified as a binding offer. Any additional work or spending outside the agreed scope requires written agreement before it is incurred.
3. Client Materials, Access and Approvals
You are responsible for providing accurate product information, instructions and materials, and for obtaining the rights and permissions needed to use them. This includes appropriate rights to brand assets, music, photographs, footage, testimonials and people's likenesses.
You must be authorized to grant access to any accounts we manage. Where available, access should be provided through platform roles or other approved authorization methods. Please do not send passwords, payment-card details or other sensitive credentials through a public inquiry form.
You are responsible for reviewing product claims and approving materials as agreed in the project scope. We will publish or communicate on your behalf only within the authority you have given us. Delays in materials, access or approvals may affect the schedule; we will discuss resulting changes with you.
4. Content Production and AI-Assisted Work
Production methods may include editing, licensed assets, original production and AI-assisted tools, as specified or agreed for the project. If you require original filming, particular talent, exclusive assets or restrictions on AI use, those requirements must be agreed before production.
Content must accurately represent the product and must not present fabricated consumer experiences, endorsements or testimonials as genuine. Generated or edited likenesses require appropriate permissions where applicable. Advertising, sponsorship and synthetic-media disclosures must be included where required by law or the relevant platform.
AI-generated and third-party materials may carry licensing restrictions or limits on exclusivity and intellectual-property protection. Those limits are not removed by delivery or payment. We will identify material restrictions known to us that affect the agreed use of the deliverables.
5. Platform Rules and Campaign Performance
Social platforms independently control their systems, distribution, moderation and account access. Their decisions, outages and rule changes can affect publishing, reach and campaign results.
Unless a specific commitment is expressly agreed in writing, we do not guarantee a number of views, followers, leads, sales, search placements or a return on investment. Past case-study results are specific to the circumstances and reporting period described and do not predict every client's results.
This does not excuse us from delivering the work we agreed to perform or from responsibility for our own conduct under the agreement and applicable law.
6. Fees, Payments and Third-Party Costs
Fees, currency, payment dates, taxes and any deposits or installments will be stated in the accepted proposal, invoice or service agreement.
Advertising budgets, paid platform tools, talent fees, licensed assets and other third-party charges are included only when the written scope says so. Additional costs require your approval.
If payment is overdue, we may pause affected work after notifying you and providing a reasonable opportunity to resolve the issue. We will explain any resulting schedule changes. Recurring fees or renewals apply only where expressly agreed.
7. Changes, Cancellations and Refunds
Please send requests to change, pause or cancel a project in writing. Cancellation notice, completed-work charges, treatment of deposits and any refund arrangements should be agreed before payment.
If the agreement does not address a particular cancellation situation, we will review the work delivered, work already performed, approved non-cancellable third-party commitments and any unused advance payment with you, then provide a written settlement proposal. This process does not limit any refund or cancellation rights available under applicable law.
If we cannot complete agreed services, we will explain the issue and address an alternative delivery arrangement or any refund due under the agreement and applicable law.
8. Ownership and Use of Deliverables
You retain ownership of the materials you provide. You authorize us to use those materials only as needed to perform the agreed services and any separately approved uses.
The project agreement should specify ownership or licensing of final deliverables, when rights take effect, permitted uses and whether editable files, raw footage or source materials are included. Payment alone does not grant ownership of third-party assets or our pre-existing tools, templates and production methods.
Any necessary third-party licenses continue to apply. Account ownership, account access and handover responsibilities should also be set out in the project agreement.
9. Confidentiality, Personal Information and Portfolio Use
Each party must protect non-public business information received from the other and use it only for the agreed work, except where disclosure is authorized or required by law. Access may be given to personnel and service providers who need it for the work and are subject to appropriate confidentiality obligations.
Our Privacy Policy explains how we handle personal information for our own business purposes. Where we process personal information on a client's behalf, the applicable service agreement and any required data processing agreement govern that work.
We will obtain your written permission before publishing non-public project details, identifiable performance data, testimonials or work as a named client case study. A brand reference or creative example alone does not establish an endorsement or partnership.
10. Acceptable Use and Suspension
You must not use our website or services for unlawful activity, unauthorized account access, impersonation, deceptive claims, infringement, unlawful unsolicited communications or attempts to bypass platform safeguards.
We may decline or suspend affected work where reasonably necessary to address a security issue, unlawful instruction, material breach or platform restriction. Where practicable, we will explain the issue and allow an opportunity to resolve it. Urgent risks may require immediate action.
Ending a project does not remove payment obligations already incurred, confidentiality duties, applicable intellectual-property restrictions or statutory rights. Handover and access removal will be handled under the project agreement.
11. Responsibility and Disputes
Each party remains responsible for its own obligations under the agreement and applicable law. These Terms do not exclude liability that cannot lawfully be excluded, including liability for fraud or other conduct where exclusion is prohibited.
Any project-specific liability limits, governing law and dispute forum should be stated in the service agreement. If a concern arises, please contact us with the relevant project details so we can try to resolve it promptly. This does not prevent either party from exercising legal rights or seeking urgent relief.
12. Updates and Contact
We may update these Terms and will show the effective date above. Material changes affecting an existing engagement will be communicated and agreed where required; a website update alone does not retroactively change an accepted project scope.
